community member. We have enjoyed working closely with the administration and staff of Park City
Municipal, as we have partnered together in many community events and causes. We believe that Zions

MANDATORY CONDITIONS QUALIFYING A FINANCIAL INSTITUTION TO PROPOSE
Proposers must meet the qualifications described in this section.
1. Location within the City limits: The proposing financial institution must be a Federal or State of
Utah chartered financial institution. The financial institution must have a full- service branch
located within the City limits of Park City for the full term of the banking contract. This branch
must be able to offer the full range of banking services required by this RFP. Any question as to
whether a proposing institution meets this qualifying condition may be submitted to the Park City
Finance Manager in writing via email prior to submission of a proposal.
Zions Bank, a division of ZB.N.A. is a Federally chartered financial institution with a financial center
located in Park City at: 1100 Snow Creek Drive, Park City, UT 84060 This financial center is
managed by Debbie Bump and can offer the City the full range of banking services required by this
RFP.
City employees can also conduct business at the Newpark Office at: 1483 Newpark Blvd. Park
City, UT 84060. Britney Comer is the manager of this office, which also offers a full range of
banking services.
2. Qualified Public Depository: The proposing financial institution must be a qualified depository
for public funds pursuant to the Utah State Money Management Act Section 51-7-11. The
financial institution must be a member of the Federal Reserve System and must have access to all
Federal Reserve services (e.g., check processing, electronic funds transfer, etc.). The financial
institution must be insured by the Federal Deposit Insurance Corporation (FDIC).
Zions Bank meets the qualifications of the Utah State Money Management Act and as such is a
qualified public depository. Zions Bank is a member of the Federal Reserve System and has access
to all Federal Reserve services. Zions Bank is a financial institution whose deposits are insured by
the FDIC.
3. Strength and Stability: The proposing financial institution shall have on file with the City an
affidavit with the amount of its capital stock and surplus. The financial institution selected to
perform banking services shall maintain a capital structure equal to or greater than the amount
the City has on deposit with them at any time during the term of the agreement. This calculation
shall include both demand deposits and term deposits such as certificates of deposit and savings
accounts. Each proposing institution shall submit with their proposal one (1) copy of their annual
financial report for the past two years. The successful proposer shall, for the duration of this
contract, continue to furnish to the City annual financial reports in a timely manner.
Zions Bank has on file, with the City, an affidavit with the amount of its capital stock and surplus,
which is greater than the amount the City has on deposit with the Bank at any time. The Bank has
included copies of the 2015 & 2016 annual reports (ATTACHMENTS 3 and 4); 2017 will be posted
online in May, 2018. The annual report is also found online at www.zionsbancorporation.com .

4. Community Presence: The financial institution shall have a rating of “Outstanding” or
“Satisfactory” on its most recent Community Reinvestment Act review.
Zions Bank’s most recent CRA Rating is “Satisfactory” dated July 27, 2015.
In early 2017, Zions Bancorporation approved Zions Bank’s request to allocate $205 million (over
the course of three years), to be set aside specifically for commercial real estate loans related to
affordable housing and other Community Reinvestment Act-qualified projects. Zions Bank
recognizes the affordability challenges facing the communities located within our footprint, and we
are excited to work with municipalities and with individuals who are also working to address this
need.
Zions Bank is dedicated to serving the community of Park City. Over the last 15 months, the Bank
has made donations of more than $1,000,000 through its giving committees to Park City area
organizations such as: Park City Chamber, Sundance Institute, Park City Ski Education Foundation,
Christian Center of Park City, Peace House, Peoples Health Clinic, Kimball Art Center, Park City
Education Foundation, Youth Sports Alliance Park City, Park City Tots, Park City Homebuilders
Association, Park City Sunrise Rotary, Park City Eats, and Park City Summit County Arts Council.
Zions Bank employees stay involved year after year, volunteering at annual events such as: Paint-
a-Thon, National Teach Children to Save Day, Lights On Park City, Traveling Treasures, and United
Way Day.
5. Legal Compliance: By submitting a proposal, the financial institution represents and warrants
that it is familiar with the local laws and ordinances, and will conform to all local, state and
federal laws, including but not limited to workers’ compensation and all anti-discrimination laws.
To the best of our knowledge, we are familiar with and currently compliant with all applicable
Federal, State, County, and City laws, ordinances, rules, and regulations, including but not limited
to anti-discrimination, and workers’ compensation laws.
We are also willing to accept the terms of the services agreement as found in City’s Service
Agreement subject to the conditions being met as described in Exhibit C.
6. Technology: The financial institution shall have the ability to supply web-based information
reporting systems and allow multiple users with different security level access, provide electronic
images of cleared checks front and back, direct deposit services, wire transfers, cashier’s checks,
electronic funds and automatic clearinghouse transfers.
Zions Bank can provide the City with all of the above mentioned systems and services in a secure
and safe environment. The Bank provides many of the best and latest security measures and
safeguards to ensure the protection of the information of its clients by limiting access through
passwords, encryption, algorithms and even security fobs, and soft tokens. Zions Bank meets or
exceeds the industries minimum standards for the safe delivery and transmission of customer
information and restricts or limits access as per the customer’s request.

C. Institution Profile: Please provide the following information:
Institution Overview - General overview of the institution, certification of meeting required
qualifications to propose as outlined in Section II, customer service philosophy and identification
of the primary office or branch that the City will be assigned to and where the City will conduct
its banking business.
General Overview
Founded in 1873, Zions Bank has grown to more than $12.7 billion in assets, and operates 121 full-
service branches throughout Utah, Idaho and Jackson, Wyoming. The bank is an affiliate of ZB,
NA., which operates in nearly 500 branches across 11 Western states and whose parent company is
the $63 billion -in-assets Zions Bancorporation, included in the S&P 500 and NASDAQ Financial
100 indices.
Zions Bank has been providing cash management and payment services to our customers throughout
the Intermountain West for more than 26 years. Our unique approach to relationship management
means a team of qualified individuals will be assigned to your account to assist in the management,
support, and implementation of all products and Services. Your banking team will be responsible
for answering any of the City’s day-to-day questions about banking services. Zions Bank is known
for its excellent customer service in providing the products and services to meet our customer’s
needs, while maintaining local decision making and relationship management. This combination
of local decision-making and customer service, together with large institution sophistication and
technology, truly sets Zions Bank apart from our competitors.
Qualifications
Zions Bank meets the required qualifications as outlined by the City. The City’s primary financial
center is located in Park City at: 1100 Snow Creek Drive, Park City, UT 84060 This financial
center is managed by Debbie Bump and can offer the City the full range of banking services required
by this RFP. City employees can also conduct business at the Newpark Office at: 1483 Newpark
Blvd. Park City, UT 84060. Britney Comer is the manager of this office, which also offers a full
range of banking services.
Our philosophy on customer services is as follows:
The City will be assigned a Relationship Manager, Brad Heath, who in effect acts as the
“quarterback” of your banking relationship. On his team is Cheryl Ginn, Debbie Bump and Brian
Moore. These officers will be responsible for managing and monitoring the relationship, assuring
that all banking services are functional and providing the services that have been contracted and/or
requested by the City. As new financial products and services become available, your Zions
relationship officers will introduce them to the City for your consideration.
The relationship team at least once per year will conduct an annual review. This review will
encompass every aspect of the banking relationship, and is used to ensure accuracy and consistency.
During the review the City and the relationship team will determine if additional products or
services are needed, whether additional training or other account updates or enhancements are
required.

Experience – Institution’s direct experience in servicing public sector clients. Please include:
the number of public agency clients and the dollar amount of public funds on deposit.
For over 100 years, Zions Public Finance and its predecessor companies have provided financial
advice to Utah municipal clients. Our Salt Lake office is home to 10 registered municipal advisors
who provide financial advisory services throughout Utah. Our public finance group also includes
over a dozen supporting team members who coordinate analytics, disclosure, consulting, impact fee
analysis, capital facilities planning, and a variety of other specialties.
During the last decade, Zion Public Finance has been involved with the issuance of over 1,000
municipal transactions totaling over $16.3 billion in par amount. Additionally, our public finance
team has helped issue more bonds in Summit County than every other firm combined. During the
last decade, Zions has assisted 16 Summit County entities with 29 transactions totaling over
$217.8 million.
Zions Bank has over one hundred fifty relationships within the public sector, with more than
$700,000,000 of public funds on deposit.
Relationship Management – Identify officers responsible for the City’s accounts, what each
person’s role and responsibilities will be, and the relevant credentials and experience of each
person on the relationship management team.
Commercial Relationship Manager:
Brad Heath – 10 years banking experience, specializing in commercial & small business
relationships in Park City and Salt Lake City.
Business Payments & Technology Senior Advisor (Treasury Management):
Cheryl Ginn – 12 years treasury management experience at Zions; 30 years
retail/commercial banking background. Active volunteer with Kimball Art Center, Christian
Center of Park City, Peace House.
Financial Center Manager:
Debbie Bump – 17 years banking experience in Park City. Active in the community: Peace
House Board, Big Brothers Big Sisters of Summit & Wasatch Counties Advisory Board, Park
City Chamber Board, Park City Sunrise Rotary.
Senior Wealth Management Advisor:
Brian Moore – 16 years high-net-worth investment advisor at Zions; Over 20 years of
industry experience. Actively involved in the community.
D. References: Please provide three (3) references (preferably public agencies) for whom the institution
has provided banking services similar to those required by the City. Include the following information
for each reference: Contact name, title, name of customer, address, telephone number and number of years
as customer.
In order to protect the confidentiality of our client relationships, we do not provide references as part of
RFP responses. References may be provided on a confidential basis if Zions Bank is selected as a finalist
or awarded the business that is the subject of this RFP.

E. Cost Proposal (see Exhibit A and Exhibit B)
F. Please provide answers to the following:
1. Please describe the institution’s cash deposit requirements. How should the coin and
currency deposits be bundled? Is there a fee for depositing loose or rolled coin?
The financial center has no requirements for depositing currency and coin. The bank will continue
to process the City’s loose and rolled coin free of charge. Currency is however typically bundled by
stacks of 100, and Coins are rolled by type.
2. Please provide examples of the reports for account analysis statement and the monthly
statement.

3. Please describe in detail the procedures for handling deposit adjustments. What
documentation on discrepancies is provided? Is the documentation different for cash
deposits and check deposits? What is the minimum adjustment amount? How soon would
support documentation of a deposit discrepancy be provided to the City?
Cash Deposit Adjustments (no minimum)
Overages/Shortages - $0 to $99.99:
a. Tellers complete the deposit correction notice for the amount of the difference. Tellers
will include a complete description of the difference. A copy of the notice, along with a
copy of the deposit ticket and shipment invoice is sent to the City.
b. The correction notice is processed along with the City’s deposit.
Overages/Shortages - $100 and above:
a. Notify the City of the difference
b. A deposit correction notice for the amount of the difference is completed, if the City
requests an adjustment, and will include a complete description of the difference.
c. The City’s account will not be credited without obtaining approval from the City.
Check Deposit Adjustments (no minimum)
All deposits are verified each evening (on the day of the deposit). If there is any discrepancy, the
“Deposit Adjustment” amount will post to the City’s account and the Notification of Adjustment,
containing details, will be mailed and/or emailed to the City.
It is standard procedure for the Financial Center Manager/Assistant Manager to try and resolve any
customer problem within the first 24 hours upon being notified of any problem. On occasion a
problem may take more than 24 hours to resolve, and in those instances the Financial Center
Manager/Assistant Manager will involve all those who need to be involved and will try to determine
a timeline for the resolution.

4. What are the cut-off times for deposits at the local branch? If the institution has more
than one branch, identify the time and branch(es) where the daily deposit(s) will be
accepted. Is pricing different for night drop services? How are deposit adjustments and
the related notification and support documentation handled for night drop deposits? Please
describe the returned item handling and notification procedures. How long does it take
returned items to be sent to the City? Can returned items be automatically re-
deposited? If so, how many times?
The Park City branch offers same day ledger credit for deposits until 6:00pm M-F for checks, and
immediate credit for all cash deposits. This branch also has an ATM that can accept cash (not coin)
and checks up until 8:00pm where the City can receive same day ledger credit for checks and
immediate credit for cash.
Anytime Deposit Scanner deposits submitted by 9:00 pm Mountain Time (MT) are posted to the
account the same day. Deposits submitted after this time will be posted the next business date.
Weekend deposits and Federal holiday deposits will be processed the next business date.
For night drop, Zions Bank ensures that two bank employees are present when deposit bags are
opened (dual control), and deposits are processed before banking hours while the doors are locked.
In addition, Zions Bank’s branch capture operators identify and adjust all discrepancies. The
Financial Center Manager will contact the customer and help to resolve any discrepancies that might
arise (usually within 24 hours). Night drop discrepancies are handled similar to those occurring
during regular daylight hours.
It normally takes 24 hours for a return item to be returned to the city but can take up to 2-3 days
depending upon the originating financial institution’s response.
If requested Zions Bank can automatically re-deposit checks twice before they are returned to the
City. Zions Bank can post NSF checks a single time, after the second presentment rather than after
each presentment. For this special request, Zions Bank would need to set up the account on the front
end so as to allow for the NSF checks to post only once after the second presentment, rather than
after each presentment as is the norm.
5. Can change orders for $500 or less be made available to City departments without
advance notice?
Zions can handle small change orders without an advanced notice. In the case of an emergency we
prefer advance notice of 15 minutes so we can take personnel off the teller line to enter the vault,
where they can fill the change order.
6. The institution will be required to provide certain transaction confirmations and respond
to other requests for data as needed from the City’s auditors. Will the bank be able to
comply with such requests?
Zions Bank will work with the City to pull reports and queries as needed. The Bank can also provide
timely reporting for the City’s auditors, and will be available to respond to requests in a reasonable

and timely fashion. Zions Bank has a group of product managers and system managers that are at
the disposal of the City’s banking team. The banking team for the City will be available to work
with or direct the auditors to the systems managers or operations personnel that can provide the
needed reporting or information. Any requested reports will be sent through electronic mail and
password protected for security. Reports and queries will be pulled within 3 business days at the
most (usually less).
7. The City has not been in an overdraft position for years, however, what is the institution’s
policy regarding daylight (intra-day) overdrafts? Is there a charge for DOD’s and if so,
how is it calculated? Is there a daily cap on fees? Will the institution guarantee payment
of all items even if it results in the account being overdrawn temporarily for the day?
What is the institution’s policy regarding Interday Overdrafts? Is interest assessed on
overdrafts and if so, how is that rate calculated?
The two types of overdrafts that can occur are daylight and overnight overdrafts. A daylight overdraft
occurs when funds in a checking account for the City are withdrawn during the day leaving a negative
balance in the account before any deposits are made to cover those items. An overnight overdraft
occurs when collected funds in the City’s checking account cannot cover debits posted to the account,
leaving the account with a negative balance even if there are uncollected funds in the account that
would cover the overdraft.
Zions Bank will provide Overdraft (OD) protection for all disbursement accounts and ACH
payments.
Overdraft charges are handled through the analysis statement process. Overdraft charges when
applied are consistent among all commercial customer accounts.
• Per Item Fee is $35; There is no daily cap for businesses.
• The Overdraft Service Fee is currently Prime + 4%
• The Uncollected Funds Usage Fee is currently Prime + 2%
Any uncollected funds caused by an overdraft are not netted against positive balances in other
accounts during the month-end analysis process.
8. How does the institution determine and calculate availability of deposited items? Does
the institution give immediate availability for on-us items? Does the institution calculate
availability by item or formula? Please provide a copy of the funds availability schedule
the institution proposes to use for the City. Describe one day, two day availability and
wire requirements.
If a deposit is made using Zions Bank’s Anytime Deposit service:
Availability is calculated based on the time the deposit was scanned. We do give 100% immediate
availability for on-us items. Availability for transit items are calculated based on the ABA number
that the check is drawn on and then a fraction is applied.
If a deposit is made through traditional methods (Paper Deposit):
Availability is calculated based on the business day the deposit was received (before the branch
closed). We do give 100% immediate availability for on-us items. Availability for transit items are
calculated based on the ABA number that the check is drawn on and then a fraction is applied.

Zions Anytime Gateway services provide a secure web browser-based suite of electronic services that allow
the City to manage your banking activity online. The web based application is built to meet the City’s specific
needs, while being easily customizable to suit countless viewing preferences. With Anytime Gateway you can
do your banking services 24 hours a day, wherever, and whenever you like. By utilizing your own IDs,
password authentication, data encryption and internet protocol security, you are assured that all of your cash
management activities remain within a totally secure environment.
Client Self Administration
The Anytime Gateway service offers the City the option to manage user privileges on your own time frame.
The City can add new users, assign user access and security privileges, change user permissions or remove
users at your discretion, without having to send anything to the bank.
Wire Transfers
The wires module for Anytime Gateway enables you to create, approve or reject outgoing domestic,
international, draw-downs, and tax wires. The system also gives you the ability to setup wire templates. The
City will be able to view and manage either the individual payment or list of wires pending and wires
processed.
ACH
The ACH module for Anytime Gateway enables you to create, approve or reject, and manage an ACH
payment and ACH templates. It also allows you to view and manager either the individual payment or list of
ACH’s pending and ACH’s processed. Originate and upload your ACH files directly while eliminating
multiple calls to different systems to perform all your cash management functions.
Check and Deposit Images
This module facilitates research and postings to your accounts receivables with the ability to view images of
paid check and deposited items. A built-in image viewer gives you the ability to review individual items
without downloading software.
Stop Payments
Anytime Gateway gives the City the ability to place stop payments online quickly and easily in real time and
receive automatic confirmations online. The City can also inquire about the status of their checks, cancel stop
payments previously issued, and maintain an ongoing status review of currently active stop payments via
reports.
Transfers
Quickly and easily transfer funds between enrolled accounts on Anytime Gateway; it has never been easier to
move funds between two or more accounts. Transactions are processed in real time and are reflected in the
Same Day balance reporting information, providing verification of processing and easy reconcilement.

Balance and Transaction Reporting
The Information Reporting module for Anytime Gateway enables the City to view summary level Current Day
and Prior Day balances and transactions on all accounts, with additional detail available at the click of a
mouse. It also allows you to customize the current day and prior day balances view, and view various balance
reports. Each morning the City can login and view information needed to determine cash positions on each
account, including ledge, collected, float and transaction types. Transactions such as ACH and Wire Transfers
can be viewed in detail by hovering over the pop up window. For same day transactions, the detail is retained
for 90 days, for prior day transactions the retention is 180 days.
Bank Reports-A variety of bank reports are available online, such as:

new “Treasury Internet Banking” platform. (The City’s migration is tentatively scheduled for August,

ACH Debit Services and Direct Deposit of Payroll: The City processes a direct debit
batch once a month for the payment of both residential and commercial utility bills. The City
also processes payroll up to five (5) times a month. Payroll will be an ACH transaction to ADP for
paydays that occur every other Friday for staff. City Council and Boards are paid monthly. Other
miscellaneous ACH transactions such as retirement fund transfers, sales tax transfers and federal
tax payments flow through the account each month. Please provide answers to the following:
1. Please describe the institution’s ACH and Direct Deposit online banking service.
ACH Services
Zions Bank offers the City ACH Services through Zions online Anytime Gateway system. Using
Anytime Gateway, ACH transactions may be hand entered into specified batches and sent at specific
times and/or NACHA formatted files can be imported into Anytime Gateway. All batch information
may be retained and maintained on the system for up to180 days.
ACH Debit Services (Collect Utility Bills)
Currently, the City initiates debit files to collect residential and commercial utility bills. It is
recommended that files be delivered by 4:00 p.m. MST through Anytime Gateway one day prior to
the effective date.
Recently, “same-day” ACH debits have been made available. To qualify for “same-day” each item in
the debit file must be less than $25,000 and the file must be received by the bank no later than 11am
MST. An additional fee is assessed for “same-day” ACH transactions.
Direct Deposit of Payroll
The direct deposit of payroll through ACH automatically deposits employees’ checks into their bank
accounts. Direct deposit services allow for a timely and efficient deposit of employees’ payroll
checks, no matter where they bank. ADP will be processing the City’s payroll. ADP may draft the
City’s account or process a “Draw-down Wire” for the total amount of payroll.
ACH Credit Services (Bill Pay Feature)
ACH Disbursements can also be initiated to distribute funds to your own accounts at other
institutions, to pay vendor invoices; or to reimburse employees for business expenses.

– MST. To take advantage of the newly adopted “same-day” ACH payments, the file must be
received by the bank by 11am.
• What are the hours of operation of the ACH unit?
Zions Bank ACH services are available from 8:00am to 6:00pm MST.
Our ACH Processing unit observes all Federal Reserve Bank holidays. These are days that the
bank itself will also be closed.

2. Please detail the institution’s back-up plans for data transmissions. The City requires
immediate notification of any changes or problems and the ability to re-send a file or to
delete a file.
Zions Bank’s high-level security standards, which include a variety of internal checks and
balances, help protect the accuracy of ACH information. As with other banking services, Zions
Bank has established key quality indicators for our ACH processing which are tracked regularly.
Zions Bank is a Member of the National Automated Clearing House Association (NACHA) and
The Western Payments Alliance (West Pay). These associations allow us to provide a high level of
security, operational assistance, support, education, and training services.
When deleting or resending a file the City should notify the Bank before the file is uploaded to the
ACH system.
Electronic confirmations on all ACH transfers can be emailed or faxed to ensure transfer is
complete. Returned ACH payments shall also have an electronic confirmation.
3. What screening measures does the institution use to minimize errors on files?
Using the Anytime Gateway ACH module, file origination may be verified for accuracy using the
ACH reporting mechanism. File transaction counts, dollar totals, and batch detail information is
readily available or available upon request. This information is available directly after the approval
process is complete showing date time user sending the file and other information as outlined above.
4. How does the institution handle file, batch and item reversals and deletions?
In the case of an ACH return/reversal, the City is notified electronically via Anytime Gateway as
soon as Zions Bank is notified by the receiving institution. The notification contains all pertinent
information from the initial ACH along with the reason for the return. Again, in the case of
deletions or when resending a file the City should notify the Bank before the file is uploaded to the
ACH system.
Banking Supplies: Currently, at no additional charge, the City is provided triplicate carbonless
deposit slips encoded with each depositing department’s code number and plastic deposit bags. Does
the institution charge for this service?
Zions Bank will continue to provide the City with triplicate carbonless deposit slips encoded with each
depositing department’s code number and plastic deposit bags.
Positive Pay/Reverse Positive Pay Services: Describe the institution’s ability to provide
Positive Pay or Reverse Positive Pay services on checks and ACH debits. What type of data
transmission can the institution accept? What is the deadline for the transmission of check
issuance files to the institution? How much time will the City have to review discrepancies and notify
the institution to reject?
Zions Bank can provide the City with Positive Pay or Reverse Positive Pay services. The Bank also offers an
ACH Positive Pay service. Zions’ Positive Pay service offers flexible file import capabilities, by accepting
virtually any file format.

The City will have from the time the issue file is submitted in the morning by about 8:00am (files are uploaded
every 30 minutes) until 2:30pm MST to review exception items and decide to return or pay the item.
Positive Pay
Zions Bank can offer a complete Positive Pay solution to Park City. At each check run, the City will provide
Zions Bank a file complete with check issuance information, listing all disbursements. Once the information
is in the Zions Bank system, it is compared to checks as they are presented for payment. If the serial numbers
and dollar amounts of presented items match exactly the checks will be paid. The Bank can receive more
than one Positive Pay file each day for any number of the City’s accounts.
Each file received from the City will be compared against items presented each day. If there are any
unmatched items, they are reported to the City as Positive Pay exceptions, and the City will report to the Bank
via NextGen which of those exception items to honor. The exception item image can be viewed on our
NextGen system. Decisions must be made on exception items by 2:30pm MST. If no decision is made by
2:30pm the system will default to either return all or pay all, as decided previously.
The City when approving exception items will instruct the Bank on a check-by-check basis to pay items, or
to return items if not approved, for each account.
Reverse Positive Pay
An alternative to the Positive Pay system offered by the Bank, would be a reverse Positive Pay process. The
City does not send the Bank a check issue file; rather, the Bank would send to the City a daily listing of the
items which have been presented for payment, and the City would do the comparison against their database
of issued items. The City has currently elected to use this method as part of the daily posting of checks. The
City, if desired, can make changes to this process at any time.
ACH Positive Pay
As electronic payments become more widely used, with it comes an increase in occurrences of ACH fraud.
Zions Bank offers a product that can protect the City’s accounts from unauthorized debits. ACH Positive Pay
is an inexpensive and simple way to prevent unauthorized electronic transactions and manage the inventory
of the acceptable ones.
Each time an ACH debit is presented to the City’s accounts; Zions Bank will notify the City via email of the
debit. The City will login to the Bank’s Positive Pay system to view the item and decision if the item needs
to be paid or returned. If the ACH debit is from a company that has been authorized to debit the account, the
City can create a filter providing the Bank with the company’s name, ACH company id and a dollar limit. By
creating a filter, the City is authorizing the Bank to allow ACH debits from that company to automatically
post to the account and will no longer be exception items.
With the adoption of “same-day” ACH transactions, a second window has been opened to review ACH debits
presented. ACH exceptions are generally available for review by 5am MST each business day. “Same-Day”
ACH exception will be for review by 3pm MST, with a decision cut-off time of 5pm MST.
The online platform for Positive Pay and ACH Positive Pay is a self-administered system. The City can
add/delete users, grant permissions to users, manage accounts, assign passwords, and audit activity.

Safekeeping Services: Occasionally, the City maintains a fixed-income portfolio with assets of
approximately $5 million. Describe the institution’s safekeeping services including an example of
monthly reports that would be provided to the City. Please provide a schedule of fees for this service.
Zions Capital Advisors does not charge a separate “safekeeping fee”. Safekeeping is included in the
Investment Management fee. See ATTACHMENT 9 for sample of the monthly report from Zions Capital
Advisors.
Employee Banking: Describe in detail the package of employee banking services that the
institution proposes to provide to City employees that use direct deposit for their payroll. Currently
our employees are offered a free checking account that includes the following: No monthly service
charge, unlimited check writing, no minimum balance requirement, free bill pay for twelve (12)
months, debit card and free online banking.
Zions Bank is happy to offer the employees of Park City Municipal Corporation the products and services
offered by our group banking program. This added benefit provides the City employees with discounts as
well as no fee banking services as a benefit of the relationship with the Bank.

Conversion: The City requires a smooth and low-cost transition to a new institution. Please describe
the institution’s plan to implement the proposed services and to ensure a smooth, error-free
conversion. Please detail all costs and the responsible party (institution or City) associated with the
conversion of all the new services.
Park City Municipal currently uses many of Zions Bank’s products and services. If the City elects to
continue its relationship with the bank, refresher training and reviews can be conducted where needed. Also,
if the City needs training for any new employees, the City’s banking team can provide this at any time.
There are no costs to the City to provide trainings for current or new products and services.
The Zions Bank team assigned to the City will work directly with the City to complete all necessary
documents, contracts and agreements and work to ensure a smooth contractual process in order to continue
banking with Zions Bank.

1. Indicate the plans for educating and training City employees in the use of the institution’s
systems.
In the course of ordinary business, new employees as well as veteran employees, will be offered
trainings on any new products or services, and any new updates to existing systems. Many of the
online services have tutorials available online for customer use. The City’s banking team and
support personnel are also available for re-trainings or reviews of existing services as requested.
2. Describe in detail how the institution handles problem resolution, customer service, day-
to-day contact and ongoing maintenance for governmental clients. Please be specific
about exactly whom the City will be calling and working with for the above described
situations.
The City will be assigned a Relationship Manager, Brad Heath, who in effect acts as the
“quarterback” of its banking relationship. On his team is Cheryl Ginn (Treasury Management) and
Debbie Bump (Financial Center Manger). Additionally, Marci Gines, the Park City Financial
Center Assistant Manager and Daniel Mendez, Treasury Management support, are available and
trained to assist. These bankers will be the day-to-day contacts responsible for managing and
monitoring the relationship, assuring that all banking services are functional and providing the
services that have been contracted and/or requested by the City. As new financial products and
services become available, your Zions team will introduce them to the City for your consideration.
When the City needs to research or validate transactions, two methods can be used. First, a direct
phone call or email to Debbie and Cheryl for help is the City’s quickest source of assistance.
Second, a more technical method is to use the online service Anytime Gateway to research and
validate any historical transaction within the last 180 days. If there is a change or an adjustment
that needs to be made to the account, Debbie and Cheryl will resolve the problem. Their response
will be immediate and any adjustments shall be made within 1-2 business days.
Compensation: Compensation shall be provided either in the form of a compensating balance or
direct fees basis. The City currently uses the direct fees basis. The City shall, at the beginning of the
contract period, specify which method of compensation will be used.
1. What is the institution’s Earnings Credit Rate (ECR) based on, and how is it calculated?
List the institution’s actual ECR for the months of November and December 2017 and
January 2018. Is the account analysis settlement period monthly?
Zions Bank can offer the City an offset to monthly banking service fees in their operating account
through earnings credit. Zions Bank will offset fees and account maintenance charges in
commercial checking accounts according to the average collected balances in an analyzed account.
If the earnings credit is more than the per item charges then there is no cost. The account analysis
settlement period is monthly. No earnings credit can be carried forward into a future month. If
monthly earnings credit is less than per item charges the difference will be charged to the account.
Zions Bank’s ECR is set by the Pricing Committee. It is tiered, based on balance. For the months
of November 2017, December 2017 and January 2018 the ECR was as follows:

The City’s account analysis settlement is monthly.
2. Please detail exactly what types of items and services can be applied against the City’s
account analysis in addition to standard banking services. Is there a mark-up for any of
the items? If so, how much?
Zions Bank will offset treasury product fees and account maintenance charges in commercial
checking accounts according to the average collected balances in an analyzed account.
3. What procedure is used to make any adjustments to account analysis statements and how
long does it take adjustments to take effect? How are adjustments handled if the analysis
period has already ended?
If there is an error found on the account analysis statement prior to the end of the statement period
(usually month-end) an adjustment can be made by contacting your Treasury Management Officer
or vice –versa if the bank has found an error. Usually this can be adjusted or corrected within 1-2
business days. If the analysis period has already ended, any adjustments made will be reflected in
the following month’s statement.
Data Equipment Compatibility: The City heavily relies on online transactions and wishes to
ensure equipment and data compatibility and therefore requests the specifications needed for an
automated wire transfer, ACH debit and credit, balance reporting and any other automated
systems be included in this proposal. Any costs associated with automated data and equipment
should be identified in Exhibit B if not already listed in Exhibit A.
Zions Bank offers some of the banking industries’ best products and services. In doing so we use
equipment and technology that is compatible with most of the existing hardware and software in the
marketplace. We provide systems that offer many choices or features to ensure compatibility with our
clients’ equipment. Compatibility of equipment is a significant concern to us when considering products and
services, as is the safety and security of our systems.

Disaster Recovery:
1. Describe the institution’s formal disaster recovery plan.
Zions Bancorporation and the Zions affiliate Banks maintain Business Continuity Plans (BCP) for
all of the business units across the enterprise. These plans provide for and document the necessary
steps to recover business functions in the event of a disruptive event. The Information Technology
processes and systems that support core bank functions have been documented for disaster recovery
and those plans and procedures have been and are tested on an annual basis according to the
Corporate Business Continuity Policy. The Policy and the various plans are audited on an annual
basis by Zions Internal & External Auditors, the OCC, the FDIC, and the Federal Reserve Bank.
Zions Bank’s BCP program is current across the enterprise and has been rated Satisfactory by the
auditors and regulators.
In April 2017 all Financial Center plans, including the Park City Financial Center, were reviewed
and validated by each Financial Center Manager, Regional President, and the Business Continuity
Manager. As part of this annual approval process, all Financial Center employees were required to
review the plan for their location and participate in an exercise (test) of the plan for their location.
By Policy these plans are updated monthly and receive a complete review by all staff and
management in April of each year. Annual testing of these plans is also conducted in April.
Zions Bancorporation’s primary production data center is located in Salt Lake City, Utah. We
maintain a secondary disaster recovery data center in Houston, Texas. Duplicate hardware for
critical applications is maintained at the recovery site in Houston. The Houston disaster recovery
data center houses sufficient computing systems, networking hardware, and data storage systems to
run our and our affiliates’ critical business operations. Business data generated at our main data
center in Salt Lake City are made available to the disaster recovery data center systems, allowing
for a rapid switchover should the need arise. Technical support staff located at the disaster
recovery data center supports and maintains both the production and the disaster recovery hardware
and data exchange. The most recent series of systems tests were last conducted during January of
2018 and additional systems testing is scheduled throughout 2018.
2. How quickly will back-up facilities be activated?
Depending upon the severity of the disruption, the response and conversion time can be anywhere
from a few hours or less, to a few days.

Given the highly technical nature and evolvement of the services, we would ask that the City
consider the following as they relate to the Service Provider/Professional Services Agreement (the
“Services Agreement”):
• Payment for services under the Services Agreement shall continue to follow current invoicing
practices between the City and the Service Provider. Under certain services, fees are or may be
assessed for each transaction. The terms of any such fees will be disclosed in a fee schedule and/or
through the current invoicing practices between City and Service Provider.
• Under the Services Agreement, the City may exercise any examination or audit rights that are
provided to it by law, however, as a highly regulated national banking association, we generally do
not permit an audit or examination of our internal information by our customers.
• We would ask that the following language be excluded from Section 7 of the Services Agreement
entitled “Hold Harmless Indemnification” until there is clarification provided to the Service Provider
as to what it means:
The Service Provider shall indemnify and hold the City and its agents, employees, and
officers, harmless from and shall process and defend at its own expense any and all
claims, demands, suits, at law or equity, actions, penalties, losses, damages, or costs,
of whatsoever kind or nature, brought against the City arising out of, in connection
with, or incident to the execution of this Agreement….
• As a practical matter, we not carry Data Breach and Privacy/Cyber Liability Insurance or
Technology Errors and Omissions Insurance as we essentially self-insure against such risks. We
would ask that those requirements be removed from Section 8E and 8F of the Services Agreement or
that a provision is added that states something to the effect that we view ourselves as “self-insured”
against those risks.
• Given the highly specialized nature of the services, and as both parties contemplate that additional
related contracts will need to be executed in conjunction with the services per the “Contract Period”
of Section V of the Request for Proposals, we would ask that the following provision be added as
Section 22 of the Services Agreement:
22. OTHER AGREEMENTS INCORPORATED BY REFERENCE.
The provisions in Service Provider’s Treasury Management Master Services
Agreement, Summary of Services, Deposit Account Agreement, and
Specifications (including all set-up details, authorizations, procedures,
protocols, applications, instructions, guidelines, manuals, fee schedules, and
training materials) are hereby incorporated into this Agreement by reference.
If such language is not acceptable, in the alternative, we would propose the removal of Section
21.

Our Information Technology Practices are constantly changing in order to comply with evolving laws and
regulations and to protect and provide the best service to our customers in a rapidly changing banking and
technology environment. While we have reviewed Exhibit B to the Services Agreement, entitled
Technology Support, Infrastructure and Security and don’t foresee any problems, we would reserve the right
upon winning the bid to comment and/or request changes on any provisions therein to ensure with our
Information Technology personnel that such provisions are still compatible with our current practices.
